Terms and Conditions

1. Scope

These Terms and Conditions apply to all deliveries and services of KREATEC POLSKA, unless mandatory legal provisions stipulate otherwise.

2. Customer B2B / B2C

• B2B (Business customers): Customer has a valid EU VAT number or operates a business.
• B2C (Consumers): Customer has no EU VAT number or acts as a consumer under national law.

3. Prices

• B2B: Prices are net plus VAT; for intra-EU deliveries, VAT is handled under the reverse-charge mechanism.
• B2C: Prices include all taxes and charges.

4. Retention of Title

• B2B: Delivered machines remain property of KREATEC POLSKA until full payment, including future claims.
• B2C: Ownership remains with KREATEC POLSKA until full payment.

5. Delivery / Transfer of Risk

• B2B: Risk passes to the customer upon handover to the carrier.
• B2C: Risk passes to the customer according to applicable consumer law in the delivery country.

6. Liability / Warranty

• B2B: Only replacement parts; installation, labor, and travel costs excluded; no liability for indirect or consequential damages; maximum liability limited to the net value of the delivery.
• B2C: Replacement parts; installation, labor, and travel costs excluded where legally permitted; legal warranty rights remain.

7. Installation / Service

Installation, commissioning, and training are not included unless otherwise agreed.

8. Force Majeure

KREATEC POLSKA shall not be liable for any delay or non-performance due to events beyond its reasonable control, including force majeure, strikes, natural disasters, wars, or transport interruptions.

9. Intellectual Property

All technical documentation, drawings, software, and other materials remain the property of KREATEC POLSKA and may not be copied or used without written consent.

10. Currency and Payment Costs

Payments shall be made in the agreed currency; international transfer costs are borne by the customer unless otherwise agreed.

11. Jurisdiction

• B2B: All disputes arising from these Terms and Conditions or the contract shall be subject exclusively to the courts having jurisdiction over the seller’s place of business (Poland).
• B2C: Local consumer protection law remains applicable; consumers may bring claims before the courts of their country of residence.

12. Governing Law / CISG

Polish law applies; UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. Consumers retain statutory rights under local law.

13. Final Provisions

If any provision is invalid, the remaining provisions remain in force.
